Terms of service

These Terms of Service (the "Terms") set out the conditions for using the online store swirlwine.co.jp (the "Site"), operated by Swirl K.K. ("we," "us," or "our"). By using the Site or purchasing any product from it, you are deemed to have agreed to these Terms. If you do not agree, you may not use the Site. The Site is hosted on the e-commerce platform provided by Shopify Inc.

1. Application

These Terms apply to all relations between us and you regarding use of the Site. Individual policies we post on the Site (including the Privacy Policy and the Notation Based on the Act on Specified Commercial Transactions) form part of these Terms.

2. Sale of Alcohol and Age Verification

  1. The Site sells alcoholic beverages. Persons under the age of 20 may not purchase alcohol.
  2. Consumption of alcohol by persons under 20 is strictly prohibited by law.
  3. You must accurately declare your age and date of birth when ordering. We may take measures to verify age and will decline orders where we determine the purchaser is under 20.
  4. We sell alcohol under a Mail-Order Alcohol Retail License; license details are set out on the Notation Based on the Act on Specified Commercial Transactions page.

3. Accounts

If you register an account, you are responsible for providing and maintaining accurate, current information and for safeguarding your account credentials and password.

4. Orders and Formation of Contract

  1. A contract of sale is formed when we send an order confirmation or ship the product in response to your order.
  2. We may decline or cancel an order for reasons including out-of-stock items, pricing or content errors, suspected fraud, orders we judge to be for resale, or other reasonable grounds. In such cases we will endeavour to contact you using your registered email or other details.

5. Prices and Payment

  1. Prices are subject to change without notice. Displayed prices include consumption tax; shipping is charged separately as set out in the Notation Based on the Act on Specified Commercial Transactions.
  2. You must pay by the methods we designate.

6. Shipping and Delivery

Shipping methods, charges, and delivery timing are as set out on the Site and in the Notation Based on the Act on Specified Commercial Transactions.

7. Returns, Exchanges, and Cancellations

Returns, exchanges, and cancellations (the return policy) are handled as set out in the Notation Based on the Act on Specified Commercial Transactions. Due to the nature of alcohol as a product, we may be unable to accept returns for customer-convenience reasons. Please review that notation for details.

8. Subscriptions

For our subscription service, the timing of charges, deliveries, and the methods for changing or cancelling are as set out in the subscription information posted on the Site and in the Notation Based on the Act on Specified Commercial Transactions.

9. Prohibited Conduct

When using the Site, you must not:

  • Violate any law, regulation, or public order and morals;
  • Infringe the intellectual property, privacy, reputation, or other rights or interests of us or any third party;
  • Provide false or misleading information;
  • Interfere with the operation of the service, or circumvent or breach its security;
  • Transmit computer viruses or other harmful programs;
  • Improperly collect or track third parties' personal information;
  • Purchase for resale or wholesale purposes, or engage in other conduct we deem inappropriate.

10. Intellectual Property

Intellectual property rights in the text, images, logos, and designs on the Site belong to us or the rightful owners. You may not reproduce, repurpose, sell, or otherwise use them without our prior written permission.

11. User Submissions and Comments

We have no obligation to keep confidential, pay for, or respond to any comments, ideas, or suggestions you send us ("Submissions"). We may edit, reproduce, publish, translate, and otherwise use Submissions in any medium. Submissions must not infringe third-party rights or contain unlawful or inappropriate content, and you are responsible for their content.

13. Disclaimer and Limitation of Liability

  1. We do not warrant that the Site or service will be uninterrupted, timely, secure, or error-free.

We may revise these Terms when we deem it necessary. Revised Terms take effect when posted on this page, and your use of the Site after posting is deemed acceptance of the changes.

16. Governing Law and Jurisdiction

  1. These Terms and transactions between us and you are governed by and construed in accordance with the laws of Japan.
  2. Any dispute arising in connection with use of the Site or these Terms shall be subject to the exclusive jurisdiction of the Tokyo District Court for the first instance.
