1. Orders
- Orders are accepted through our ordering system (https://swirlwine.co.jp/pages/order). We do not accept fax orders.
- Orders are by the case (12 bottles, mixed allowed) as a rule. Orders of fewer than 12 bottles may incur a separate shipping charge.
- Shipping is covered by Swirl as a rule.
2. Payment
- Payment is by bank transfer to our designated account (account details are stated on the invoice). Transfer fees are borne by the customer.
- Payment terms: month-end closing, payment due by the end of the following month.
- Late payments accrue damages at 14.6% per year. While any amount remains unpaid, we may suspend shipments or require prepayment.
3. New accounts
- Until a trading history is established, new customers may be asked to prepay or trade within a credit limit we set.
4. Shipping
- Orders ship the next business day. Orders placed by noon may be delivered the next business day depending on the region.
- Orders placed Friday afternoon ship Monday for Tuesday delivery. Weekends, holidays and year-end may shift schedules.
5. Retention of title
- Title to the goods remains with Swirl K.K. until the price has been paid in full.
6. Returns and quality claims
- Given the nature of the goods, returns are not accepted as a rule.
- Report breakage, cork taint or other quality defects within 7 days of delivery; after confirmation we will replace the goods. We take great care of wine condition (reefer containers, temperature-controlled storage); please contact us about any concern.
7. Liquor sales license
- Customers who resell alcoholic beverages represent and warrant that they hold the licenses required for such sales.
8. Prices
- Prices may change due to exchange-rate movements or other circumstances.
9. Registered information
- Customers warrant that their registered information is accurate and current, and will notify us promptly of any change.
10. Exclusion of anti-social forces
- Customers represent and warrant that they are not, and are not involved with, organized crime groups or other anti-social forces. On breach, we may suspend or terminate trading without notice.
11. Personal information
- We use collected information for order processing, credit management and communication.
12. Governing law and jurisdiction
- These terms are governed by the laws of Japan. The Tokyo District Court has exclusive first-instance jurisdiction over disputes.
